Please read these Terms of Service carefully before using Issuely. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account, accessing, or using Issuely ("the Service," "we," "us," or "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of Issuely after any changes to these Terms constitutes acceptance of the revised Terms.

2. Description of Service

Issuely is a free, web-based platform that provides:

  • Bug tracking and issue management for software teams
  • Customer support ticket system and helpdesk functionality
  • Agile sprint management with Kanban boards and story points
  • Role-based access control for customers, agents, and administrators
  • JWT-based Single Sign-On (SSO) for embedding the portal into third-party websites
  • File attachment storage, email notifications, and activity logging

Issuely is provided free of charge. We reserve the right to introduce paid features in the future; however, any existing free functionality will remain available at no cost with reasonable notice.

3. Accounts & Registration

To use most features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with any third party
  • Notify us immediately of any unauthorised use of your account
  • Be responsible for all activity that occurs under your account

You may not create more than one account for the same organisation without our prior consent, or create accounts using automated means.

Accounts provisioned automatically via SSO are subject to the same terms. The administrator who configured SSO is responsible for the conduct of all SSO-provisioned users in their organisation.

4. Acceptable Use

You agree not to use the Service to:

  • Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, or violates any third-party rights
  • Send spam, unsolicited messages, or bulk communications
  • Impersonate any person or entity, or misrepresent your affiliation
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems
  • Introduce viruses, malware, or any other malicious code
  • Scrape, mine, or collect data from the Service using automated means without our written consent
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service for any illegal purpose or in violation of applicable laws
  • Interfere with the Service's performance or burden it with unreasonable load

We reserve the right to investigate suspected violations and take appropriate action, including suspending or terminating accounts without prior notice.

5. User Content

"User Content" means any information, text, files, images, or other materials you submit to or through the Service, including ticket descriptions, comments, attachments, and internal notes.

You retain ownership of your User Content. By submitting User Content, you grant Issuely a limited, worldwide, royalty-free licence to store, process, and display that content solely for the purpose of operating and providing the Service to you.

You are solely responsible for your User Content and represent that you have all rights necessary to grant the above licence. You must not submit content that infringes intellectual property rights, violates privacy, or is otherwise unlawful.

We do not review User Content before it is submitted and do not endorse any User Content. We reserve the right to remove any User Content that violates these Terms.

6. Intellectual Property

The Service, including its software, design, logos, trademarks, and all content provided by Issuely (excluding User Content), is owned by Issuely and protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes in accordance with these Terms.

Nothing in these Terms grants you any right to use the Issuely name, logo, or trademarks without our prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • Any errors or defects will be corrected
  • The results obtained from using the Service will be accurate or reliable
  • The Service will meet your specific requirements

As the Service is provided free of charge, you acknowledge that you assume all risk associated with its use and reliability.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ISSUELY AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED INR 1,000 (ONE THOUSAND INDIAN RUPEES), OR THE EQUIVALENT IN YOUR LOCAL CURRENCY.

10. Termination

You may delete your account at any time through the account settings page.

We may suspend or terminate your access to the Service at any time, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • We reasonably believe your use of the Service poses a risk to other users or the Service itself
  • We decide to discontinue the Service (with reasonable advance notice)

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our data retention policy described in the Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the revised Terms on this page with an updated "Last updated" date
  • Sending an email notification to registered account holders for significant changes

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree with the changes, you should stop using the Service and delete your account.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
